Acceptance of Terms
By accessing, browsing, or using the website and services of CoachMedia Web Tech, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms in full, you must immediately discontinue use of our services and website.
These terms constitute a legally binding agreement between you and CoachMedia Web Tech regarding your use of our digital services, website development, mobile applications, custom software, API integrations, and related professional services.
Services Offered
CoachMedia Web Tech provides professional digital services including but not limited to: website development, mobile application development, custom software development, API integration and automation, fintech solutions, VTU platforms, e-commerce platforms, custom dashboards, UI/UX design, and related digital consultancy services.
All services are provided on a project-by-project or retainer basis as agreed in writing between CoachMedia Web Tech and the client. The scope, deliverables, timelines, and pricing for each engagement are defined in a separate project agreement or statement of work.
Client Responsibilities
Clients must provide accurate, complete, and timely project requirements before development begins. This includes, but is not limited to, design preferences, functional specifications, content materials, brand assets, access credentials, and any third-party integrations required.
Clients are responsible for reviewing project requirements, mockups, prototypes, and deliverables before final approval. Once a milestone or deliverable is approved, additional changes may be treated as new work and may attract extra charges.
The client shall ensure that all materials, content, and intellectual property provided to CoachMedia Web Tech for use in the project do not infringe upon the rights of any third party.
Project Requirements
All project requirements must be documented and agreed upon in writing before work commences. Verbal instructions or informal communications shall not override the agreed-upon written scope of work.
Clients must provide accurate project requirements before development begins. Any significant changes to the scope after project approval may result in revised timelines and additional costs.
Payment Terms
Payment terms are specified in the individual project agreement. Unless otherwise agreed, projects require a non-refundable deposit or advance payment before work begins. Milestone payments may be required for larger engagements.
All fees quoted are exclusive of applicable taxes unless expressly stated otherwise. Invoices are due within the timeframe specified on the invoice. Late payments may incur interest charges and may result in suspension of services.
CoachMedia Web Tech reserves the right to withhold delivery of final project files, source code, or access credentials until full and final payment has been received and cleared.
Intellectual Property Rights
Upon full and final payment, ownership of the custom-developed work product is transferred to the client, subject to the following exceptions: CoachMedia Web Tech retains ownership of pre-existing tools, frameworks, libraries, code snippets, and methodologies used in the delivery of services.
The client grants CoachMedia Web Tech a non-exclusive, royalty-free license to use the client's name, logo, and project screenshots for portfolio, marketing, and promotional purposes unless otherwise agreed in writing.
Third-party assets, plugins, themes, or software integrated into the project remain subject to the license terms of their respective owners.
Project Delivery Timeline
Project timelines are estimates based on the agreed scope of work and are provided in good faith. Project timelines may vary depending on project complexity, client feedback turnaround times, availability of required resources, and unforeseen technical challenges.
CoachMedia Web Tech shall not be held liable for delays caused by the client's failure to provide timely feedback, content, or approvals. Extensions requested by the client or necessitated by scope changes will result in adjusted delivery dates.
Revisions and Modifications
Each project agreement specifies the number of revision rounds included. Revisions within the agreed scope and revision count are provided at no additional cost. Revisions that fall outside the original scope or exceed the agreed number of rounds may attract extra charges.
Additional features requested after project approval may attract extra charges. Such requests will be evaluated, and a revised quote will be provided before any additional work commences.
Service Suspension Rights
CoachMedia Web Tech reserves the right to suspend or terminate services without prior notice if the client breaches these terms, fails to make timely payments, engages in fraudulent activity, or uses our services for unlawful purposes.
CoachMedia Web Tech reserves the right to decline projects that violate applicable laws or regulations, including projects involving illegal content, fraud, harassment, discrimination, or any activity that could harm the reputation or legal standing of CoachMedia Web Tech.
Limitation of Liability
To the fullest extent permitted by applicable law, CoachMedia Web Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with our services.
Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.
We do not guarantee uninterrupted, error-free, or completely secure operation of any website, application, or system we develop. The client acknowledges that no software or digital platform is entirely immune to security risks or technical issues.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, sensitive, or confidential information disclosed during the course of the engagement. This obligation survives the termination of the business relationship.
CoachMedia Web Tech implements reasonable security measures to protect client data and project materials. However, clients are responsible for maintaining the confidentiality of their own account credentials and access information.
Termination of Services
Either party may terminate the engagement by providing written notice. Upon termination, the client shall pay for all work completed and expenses incurred up to the date of termination.
Deposits and milestone payments are non-refundable. In the event of termination by the client, any work completed up to the termination date shall remain the property of CoachMedia Web Tech until full payment is received.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the parties agree to submit to the exclusive jurisdiction of the courts of competent jurisdiction in Nigeria.
